Terms & Conditions for Quiet Dental PC

These Terms & Conditions (“Terms”) govern your access to and use of QuietDental.com (the
“Site”) and any services offered by Quiet Dental PC (“we,” “us,” “our”) in New York. By
accessing or using the Site or our services, you agree to these Terms. If you do not agree, do not
use the Site or services.
1. Use of Site / Services
- Eligibility. You must be at least 18 years of age (or the age of majority in your
jurisdiction) and have capacity to enter into contracts.
- Lawful Use. You agree to use the Site in compliance with all applicable laws,
regulations, and professional standards (including HIPAA or other health privacy laws).
- Account & Information Accuracy. If you provide personal or medical information, you
represent it is accurate, current, and complete. You agree to update it as needed.
- Appointment / Service Terms. Services (e.g. sleep disorder testing, appliances, CPAP,
etc.) are subject to availability, medical evaluation, and your compliance with
instructions. We reserve the right to refuse service if medically unsuitable or for other
legitimate reasons.
2. Intellectual Property
All content on the Site (text, graphics, logos, images, software) is the property of Quiet Dental
PC or its licensors and is protected by U.S. and international copyright, trademark, and other
intellectual property laws. You may not reproduce, distribute, publicly display, or create
derivative works without our express written permission.
3. Disclaimers & Limitations of Liability
- No Medical Advice via Site. The content on the Site is for informational purposes only
and is not intended to be a substitute for professional medical advice, diagnosis, or
treatment. Always seek the guidance of a qualified health provider.
- “As Is” and “As Available.” The Site and its content are provided “as is” without
warranties of any kind (express, implied, statutory). We disclaim all warranties, including
merchantability, fitness for a particular purpose, non-infringement, and availability.
- Limitation of Liability. To the maximum extent permitted by law, Quiet Dental PC and
its officers, directors, employees, agents, and affiliates will not be liable for indirect,
incidental, punitive, special, or consequential damages arising from or in connection with
your use of the Site, services, or any content—even if advised of the possibility of such
damages.
- Caps on Liability. Where liability cannot be disclaimed, then our liability for direct
damages is limited to the greater of (a) the fees you have paid to us for the relevant
service, or (b) USD $1,000.
4. Indemnification
You agree to defend, indemnify, and hold harmless Quiet Dental PC and its affiliates, employees,
agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and
expenses (including reasonable attorneys’ fees) arising from or related to (a) your use of the Site
or services, (b) your violation of these Terms, or (c) your violation of any rights of another.
5. Payment, Billing, Insurance
- You agree to provide timely payment for services rendered (or arrange insurance
coverage).
- If you use insurance or third-party payers, you authorize us to release necessary
information to process claims.
- Outstanding balances may accrue interest or collection costs, as permitted by law.
6. Cancellation & No-Show Policy
- Appointments require timely cancellation (e.g. at least 24 or 48 hours notice) to avoid a
cancellation fee.
- If you fail to show up to a scheduled appointment without notice, a no-show fee may
apply.
- We reserve right to decline future scheduling privileges for repeated no-shows or late
cancellations.
7. Privacy & HIPAA (if applicable)
Our Privacy Policy (above) applies to all personal and medical data collected via the Site or our
services. In handling health and medical information, we will comply with applicable health
privacy laws (such as HIPAA, if applicable) and New York State regulations, as required.
8. Third-Party Links & Services
The Site may contain links or references to third-party websites, apps, or services. We do not
control those third parties and are not responsible for their content, privacy practices, or terms.
Your interactions with those third parties are at your own risk.
9. Changes to Terms
We may modify or update these Terms at any time. We will post changes on the Site with a new
“Effective Date.” Your continued use of the Site or services after changes means you accept the
new Terms.
10. Termination
We may suspend or terminate your access to the Site, or your use of our services, at our
discretion, for any reason (e.g. violation of Terms). The following provisions will survive
termination: Sections on Intellectual Property, Disclaimers & Limitations of Liability,
Indemnification, Payment & Billing, Terms Changes, and any other provisions that by their
nature should survive.
11. Governing Law & Dispute Resolution
These Terms and any dispute arising out of them (or your use of the Site or services) are
governed by and construed under the laws of the State of New York, without regard to conflict of
law principles.
Any dispute, claim, or controversy will be resolved exclusively in the state or federal courts
located in Bronx County, New York, and you consent to personal jurisdiction in such courts.
12. Severability
If any provision of these Terms is held to be unlawful, invalid, or unenforceable, then such
provision will be severed and the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms (together with the Privacy Policy) constitute the entire agreement between you and
Quiet Dental PC concerning your use of the Site and services, superseding any prior agreements
or understandings (oral or written).
